Acacia is licensing owners and operators of adult websites that provide access to digital audio/video content that is transmitted and received using our DMT^® Technology. Potential licensees include Webmasters, Content Providers, Sponsors, Affiliates, and Age Verification Services. Our Webmaster license covers the use of our DMT^® technology in connection with digital audio/video content that is accessed via the Webmaster’s web site, regardless of where the content is hosted. The royalty is based upon subscription revenues from the Webmaster’s pay sites, and exit traffic revenue from the Webmaster’s sites that link to unlicensed sites containing digital audio/video content. Our Content Provider license covers the use of our DMT^® technology in connection with teaser clips on the Content Provider’s web site, and the one time ftp transfer of content files from the Content Provider to the Webmaster. Our Sponsor license covers the use of our DMT^® technology in connection with digital audio/video content that is accessed via sites that pay for traffic and/or memberships. This license also covers the affiliate for the act of sending traffic to the Sponsor sites. If an Affiliate sends traffic to a Sponsor that is licensed by Acacia, the Affiliate does not need a separate license from Acacia for this activity. The Affiliate will not need a license from Acacia as long as the Affiliate only sends traffic to Acacia licensed Sponsors, and the Affiliate does not otherwise make use of our DMT^® technology. Our Affiliate license covers the sending of traffic to unlicensed Sponsors that provide access to digital audio/video content. A license is only necessary for the Affiliate if the Sponsor has not been licensed by Acacia. The royalty is based upon consideration received by the Affiliate from unlicensed Sponsors. Our license for Age Verification Services covers digital audio/video content that is accessed via web sites that are part of the age verification network.
